Terms of Service

Effective date: January 1, 2026

These Terms of Service (“Terms”) govern your access to and use of the DocuShield platform and services provided by DocuShield Inc. (“DocuShield,” “we,” “us,” or “our”). By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

1. Use of the service

DocuShield grants you a limited, non-exclusive, non-transferable license to access and use the platform for your internal business purposes, subject to these Terms.

You agree not to:

  • Use the platform to issue fraudulent, forged, or misleading documents.
  • Attempt to reverse-engineer, decompile, or otherwise derive the source code of the platform.
  • Access the platform in a way that disrupts or degrades service for other users.
  • Share your account credentials with unauthorized parties.
  • Use the platform in violation of any applicable law or regulation.

2. User accounts

You are responsible for maintaining the security of your account credentials. You must notify us immediately at info@docushield.live if you believe your account has been compromised.

Organizations that create team accounts are responsible for the actions of all users added to their account. Administrators may manage user access through the platform dashboard.

3. Document issuance

DocuShield provides the technical infrastructure for issuing, transferring, and verifying electronic trade documents. You are responsible for the accuracy, legality, and completeness of all document content you submit.

DocuShield does not verify the commercial accuracy of document content or act as a party to any underlying trade transaction. We are not responsible for disputes arising from incorrect document information provided by you.

Documents issued through DocuShield are anchored on the XDC blockchain. Blockchain records are permanent and cannot be deleted. Revocation marks a document as invalid but does not remove the underlying on-chain record.

4. Fees and payment

Fees are charged according to the plan selected at account creation or as agreed in a custom enterprise agreement. All fees are billed in US dollars. Payment is due monthly in advance.

We reserve the right to suspend access to the platform for accounts with overdue balances. We will provide notice before suspension.

5. Intellectual property

DocuShield and its licensors own all rights to the platform, including software, trademarks, and documentation. Nothing in these Terms transfers ownership of our intellectual property to you.

You retain all rights to the document content you submit. By submitting content to the platform, you grant DocuShield a limited license to process and store that content for the purpose of providing the service.

6. Limitation of liability

To the maximum extent permitted by applicable law, DocuShield is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of revenue, loss of data, or business interruption.

Our total liability to you for any claim arising from or related to these Terms or the platform will not exceed the fees paid by you to DocuShield in the three months preceding the claim.

7. Disclaimers

The platform is provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. DocuShield does not warrant that the platform will be uninterrupted or error-free.

8. Governing law

These Terms are governed by and construed under the laws of the State of New York, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in New York, New York.

9. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice on the platform at least 14 days before the changes take effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.
